1. Agreement to These Terms
By creating an account, browsing, posting, communicating, operating a business page, using AI tools or otherwise accessing Ulitin, you agree to these Terms and all policies incorporated by reference. You represent that you have legal capacity to enter into this agreement.
2. Ulitin Is a Technology Platform
Ulitin provides technology that allows independent users and businesses to publish, discover and communicate about listings, products, services, jobs, real estate and other marketplace opportunities. Unless Ulitin expressly states otherwise, Ulitin is not the seller, buyer, manufacturer, employer, landlord, tenant, broker, dealer, auctioneer, payment processor, escrow agent, insurer, carrier, delivery provider, lender, professional service provider or agent of any user. Transactions and agreements are between users.
3. No Guarantee of Users, Listings or Transactions
Ulitin does not guarantee the identity, background, authority, honesty, financial condition or conduct of any user or business, or the existence, ownership, legality, safety, quality, condition, authenticity, accuracy, availability or suitability of any listing. Verification badges, reviews, moderation, AI analysis or other platform features do not constitute an endorsement or guarantee.
4. User Responsibility and Due Diligence
You are solely responsible for evaluating listings and counterparties, inspecting goods, confirming ownership and condition, reviewing contracts, arranging payment, delivery and meetings, determining applicable taxes, licenses and permits, and complying with applicable law. You should use reasonable precautions before sending money, releasing property or meeting another user.
5. Eligibility and Accounts
You must be legally permitted to use the services and provide accurate account information. You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account. You may not sell, transfer, rent or share an account in a manner that creates security or compliance risk. We may request verification or additional information.
6. User Listings and Representations
You are responsible for every listing you publish. Listings must be accurate, lawful and not misleading. You must have the right to offer the listed item, property, job, service or opportunity. You may not conceal material defects, impersonate another person or business, manipulate location information, create deceptive pricing or publish content intended to mislead users or automated systems.
7. Prohibited Activity and Content
You may not use Ulitin for fraud, scams, phishing, theft, trafficking, exploitation, threats, harassment, unlawful discrimination, illegal goods or services, stolen property, counterfeit products, malicious software, deceptive financial schemes, unauthorized regulated products, intellectual-property infringement, impersonation, spam or other unlawful or harmful conduct. Ulitin may maintain additional category-specific restrictions.
8. Safety and Offline Transactions
Meetings, inspections, test drives, deliveries, payments and other offline interactions occur at your own risk. Ulitin does not control the physical environment or conduct of users outside the platform. Users should use appropriate safety practices, independently verify counterparties and comply with applicable laws.
9. AI Listing Wizard and AI Features
Ulitin may provide AI-powered tools that analyze photos, assist with item recognition, suggest categories, generate titles or descriptions, translate content or provide other automated suggestions. AI outputs may be inaccurate, incomplete or inappropriate for a particular listing. AI output is not legal, financial, safety, valuation or professional advice. You remain responsible for reviewing, correcting and approving all information before publication or reliance.
10. Ulitin AI Cat and Automated Assistance
The Ulitin AI Cat and other automated assistants may help users navigate the platform or complete marketplace workflows. Automated responses can contain errors and should not be treated as guarantees, professional advice or authoritative statements about a transaction, person, product or legal requirement.
11. Business Pages
Businesses are responsible for the accuracy of business names, ownership information, addresses, operating hours, contact information, licenses, claims, advertisements, offers and other business-page content. A business page does not mean Ulitin endorses, licenses, certifies or guarantees that business unless expressly stated.
12. Reviews and Ratings
Reviews must reflect genuine experiences and may not contain fabricated claims, unlawful threats, harassment, confidential information, spam or manipulation. Ulitin may remove, limit, investigate, reorder or moderate reviews when reasonably necessary for fraud prevention, legal compliance, platform integrity or safety. Ratings are informational and are not guarantees.
13. Messaging, Audio and Video Calls
Ulitin may provide messaging, audio calling and video calling. Users are responsible for their communications and conduct. You may not use communications for harassment, threats, fraud, unlawful recording, spam or other prohibited conduct. Availability and quality of calling features are not guaranteed. Users are responsible for complying with applicable consent and recording laws.
14. Translation Features
Translations may be automated and can contain errors, omissions or differences in meaning. Users should independently confirm important terms, prices, conditions, contracts and safety information before relying on translated content.
15. Google Merchant Center and Third-Party Integrations
Ulitin may prepare or synchronize eligible product data with Google Merchant Center or other third-party services. Ulitin does not guarantee approval, indexing, publication, ranking, impressions, clicks, sales or continued availability on any third-party service. Users remain responsible for product accuracy and compliance with third-party policies. Third parties may suspend or reject content independently of Ulitin.
16. Promotions and Paid Features
Ulitin may offer optional promotional placements, featured listings, business promotion or other paid digital services. Purchasing promotion does not guarantee impressions, clicks, inquiries, ranking, sales or business results. Unless required by law or expressly stated at purchase, fees for digital promotional services that have begun delivery may be non-refundable.
17. User Content License
You retain ownership of content you lawfully own. By uploading or publishing content, you grant Ulitin a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, format, translate, resize, distribute and otherwise use that content as reasonably necessary to operate, secure, improve, advertise and promote the platform and the user's listing or business presence. This license ends when the content is deleted except where retention is reasonably required for backups, legal compliance, fraud prevention, dispute handling or previously generated promotional materials.
18. Intellectual Property
Ulitin's software, design, branding, logos, databases, interfaces and original platform content are protected by applicable intellectual-property laws. Except as expressly permitted, you may not copy, reverse engineer, reproduce, sell, license, scrape or commercially exploit protected Ulitin materials.
19. Automated Access, Scraping and Abuse
You may not use bots, crawlers, scrapers, automated extraction tools or other systems to access, copy, collect, index, train on, republish or commercially exploit Ulitin data or user content except as permitted by robots instructions, an authorized API, applicable law or written permission from Ulitin. You may not bypass rate limits, access controls, security mechanisms or technical restrictions.
20. Copyright and Intellectual-Property Complaints
If you believe content on Ulitin infringes your copyright or other intellectual-property rights, contact Ulitin with sufficient information to identify the protected work, the allegedly infringing material, your contact information, a good-faith statement and any other information required by applicable law. Ulitin may remove or restrict content while reviewing a complaint.
21. Moderation, Removal and Account Action
Ulitin may investigate, reject, remove, hide, limit or edit content and may warn, restrict, suspend or terminate accounts where reasonably necessary to enforce these Terms, protect users, address fraud or abuse, comply with law, respond to legal process, preserve platform integrity or reduce legal or security risk. Ulitin is not required to publish or continue hosting any listing or account.
22. Changes to the Platform
Ulitin may add, modify, suspend or discontinue features, categories, integrations, ranking systems, AI tools, messaging, calling, mobile features, promotional services or other platform functionality. We do not guarantee that any particular feature will remain available permanently.
23. Third-Party Services and Links
The platform may contain links to or integrations with third-party websites, maps, payment tools, app stores, communication services, analytics providers or other services. Ulitin does not control and is not responsible for third-party content, security, availability, policies or conduct.
24. No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULITIN AND THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY OR FITNESS OF ANY USER, BUSINESS, LISTING OR TRANSACTION.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULITIN AND ITS OWNERS, OPERATORS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, PROPERTY DAMAGE, PERSONAL INJURY, FRAUD, SCAMS, FAILED TRANSACTIONS, USER CONDUCT, THIRD-PARTY ACTS OR UNAUTHORIZED ACCESS ARISING FROM OR RELATED TO USE OF THE PLATFORM. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
26. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Ulitin and its owners, operators, affiliates, officers, employees, contractors and service providers from claims, liabilities, damages, judgments, losses, costs and reasonable legal fees arising from your content, listings, business activity, transactions, violation of these Terms, violation of law or infringement of another person's rights.
27. Taxes, Licenses and Regulatory Compliance
Users and businesses are responsible for determining and satisfying taxes, registrations, permits, professional licenses, dealer requirements, employment obligations, consumer-protection rules and other regulatory requirements applicable to their activities.
28. Export Controls and Restricted Persons
You may not use the platform in violation of applicable export-control, sanctions or trade-restriction laws. You are responsible for ensuring that your use of Ulitin and any transaction complies with applicable restrictions.
29. Privacy
Use of Ulitin is also subject to the Ulitin Privacy Policy. These Terms and the Privacy Policy should be read together.
30. Disputes Between Users
Disputes arising from transactions or communications between users are primarily disputes between those users. Ulitin has no general obligation to mediate, refund, reimburse, enforce contracts or resolve private disputes, although Ulitin may take platform action where appropriate.
31. Governing Law and Mandatory Rights
These Terms are governed by applicable law. Nothing in these Terms waives consumer or other statutory rights that cannot legally be waived. Any dispute with Ulitin must be brought in a court or forum having lawful jurisdiction unless the parties separately agree to another permitted dispute-resolution process.
32. Changes to These Terms
Ulitin may update these Terms from time to time. The updated date will be posted on this page. Where required by law, additional notice may be provided. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
33. Severability and No Waiver
If any provision is found unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law. Failure by Ulitin to enforce a provision is not a waiver of the right to enforce it later.
